MAIRE S.p.A. has announced the approval of the equity contribution of KT TECH S.p.A. in NEXTCHEM S.p.A. as part of its strategic plan for 2024-2033. KT TECH, a business unit focused on technologies related to hydrogen and methanol production as well as sulphur recovery, was established following a demerger of KT Kinetics Technology S.p.A. The contribution aims to enhance MAIRE's Sustainable Technology Solutions (STS) business unit by providing high value-added engineering services and proprietary equipment. The share capital increase of €197,253,810 in NEXTCHEM will result in MAIRE holding 82.13% of the share capital, marking it as a related-party transaction. Deloitte Financial Advisory has played a crucial role in determining the equity value of KT TECH and the exchange ratio for NEXTCHEM shares. The Board of Directors' decision was supported by a favorable opinion from the Related Party Committee, ensuring the transaction's fairness and compliance with regulations.
